Code of Conduct Policy
River Bourgeois Community Services Society shall maintain a policy on Code of Conduct. This policy is intended to supplement, but not replace any applicable Provincial or Federal Laws governing the code of conduct applicable to non-profit and/or charitable organizations.

River Bourgeois Community Services Society Board members are expected to comply with the prescribed Code of Conduct that encourages the development of a spirit of collective decision-making shared objectives and shared ownership of and respect for Board decisions. The code of conduct should be a statement of essential principles intended to govern the conduct of the River Bourgeois Community Services Society Board.

River Bourgeois Community Services Society Board members will at all times conduct themselves
in a manner that:

  1. Supports the objectives of the River Bourgeois Community Services Society.
  2. Serves the overall best interests of the River Bourgeois Community Services Society rather than any particular constituency.
  3. Brings credibility and goodwill to the River Bourgeois Community Services Society.
  4. Respects principles of fair play and due process.
  5. Demonstrates respect for individuals in all manifestations of their cultural and linguistic diversity and life circumstances.
  6. Respects and gives fair consideration to diverse and opposing viewpoints.
  7. Demonstrates due diligence and dedication in preparation for and attendance at meetings, special events and in all other activities on behalf of the River Bourgeois Community Services Society.
  8. Demonstrates good faith, prudent judgment, honesty, transparency and openness in their activities on behalf of the River Bourgeois Community Services Society.
  9. Ensures that the financial affairs of the River Bourgeois Community Services Society are conducted in a responsible and transparent manner with due regard for their fiduciary responsibilities.
  10. Avoids real or perceived conflicts of interest.
  11. Conforms to the By-Laws and policies approved by the River Bourgeois Community Services Society Board, in particular the Code of Conduct, Confidentiality and Conflict of Interest policies.
  12. Publicly demonstrates acceptance, respect and support for decisions legitimately taken in the River Bourgeois Community Services Society business.

Any exception to the above policies/procedures must be approved by the River Bourgeois Community Services Society Board of Directors.

The above policies/procedures supersede any policies/procedures previously put in place by the River Bourgeois Community Services Society Board of Directors.

 
Confidentiality Policy

All policies and procedures herein will be in compliance with the Bylaws of River Bourgeois Community Services Society.

River Bourgeois Community Services Society shall maintain a policy on Confidentiality. This policy is intended to supplement, but not replace any applicable Provincial or Federal Laws governing conflicts of interest applicable to non-profit and/or charitable organizations. This policy is intended to protect the personal and private affairs of River Bourgeois Community Services Society and its members.

  1. Directors on the River Bourgeois Community Services Society Board may handle or have access to confidential information. Such confidential information or documentation may include personal information of River Bourgeois Community Services Society staff, (grant and/or summer workers) membership or organizational information or other information from members of the public that is required to be kept confidential.
  2. Directors will hold all confidential information in trust and confidence, and will not use, disclose, communicate or convey, or allow to be used, disclosed, communicated or conveyed, directly or indirectly, any such information, except as may be necessary in the performance of their duties.
  3. Unauthorized disclosure could be highly damaging to River Bourgeois Community Services Society and/or individuals associated with River Bourgeois Community Services Society. If there is any question as to whether information is considered confidential, Directors must consult with the Chair of the Board before any use or disclosure of same.
  4. Directors will not allow any unauthorized person or persons to inspect or have access to any document that is of a confidential nature, regardless of media format, and will immediately report any unauthorized access to the Chair of the Board.
  5. Directors will not remove any records containing confidential information unless explicitly authorized to do so, and will return such records upon termination of any assignment or as requested by the Chair of the Board.
  6. Directors who do not comply with the Confidentiality Agreement may be subject to disciplinary action, up to and including termination of their position on the Board and/or legal action.

Conflict of Interest Policy
 
All procedures and policies will be in compliance with the Bylaws of River Bourgeois Community Services Society.
 
River Bourgeois Community Services Society shall maintain a policy on Conflict of Interest. This policy is intended to supplement, but not replace any applicable Provincial or Federal Laws governing conflicts of interest applicable to non-profit and/or charitable organizations. This policy is intended to reduce the potential for conflict of interest within River Bourgeois Community Services Society. Conflicts of interest (real and /or perceived) are unavoidable and should not prevent an individual from serving as a director.

  1. Board members are obligated to always act in the best interests of the Society. Conflict of interest arises whenever the personal or financial interests of a Board member are potentially at odds with the best interest of the Society. It is important that the Society avoid even the appearance of impropriety.
  2. The personal or financial interests of a Board member include the interests of close family members and other organizations in which the director has a direct interest as an officer, director or employee. In some circumstances it will be necessary for a Board member to disclose an indirect interest as a shareholder/director of a corporation or business.
  3. Whenever a director or officer has a financial or personal interest in any matter coming before the board of directors, the affected person shall:
    1. Fully disclose the nature of the interest and
    2. Withdraw from discussion (by leaving the room), lobbying, and voting on the matter.
  4. Any transaction involving a potential conflict of interest shall be approved only when a simple majority of disinterested directors determine by voting that the transaction is in the best interest of the Society. To be clear: it is acceptable for the Society to transact with a Board member or a close family member of a Board member or an organization in which the Board member has an interest if the Board decides that the transaction is in the best interest of the Society.
  5. The minutes of meetings at which such votes are taken shall record such disclosure, abstention from participation in discussion of or voting on the matter and the rationale for approval.
  6. Where there is a doubt as to whether a conflict of interest exists, the matter shall be determined by the Board. The person in potential conflict shall not participate in the process to decide whether a conflict exists.
